Dear Sasol Supplier,
 
As a top contributor to South Africa’s GDP the implementation of strategic national imperatives forms part of Sasol’s business objectives and deliverables. As a responsible corporate citizen, Sasol actively contributes towards an equitable business landscape embedding an inclusive society Broad-Based Black Economic Empowerment (B-BBEE), aims to establish.
 
At the B-BBEE Ownership conference held in 2019, the Minister of Trade and Industry (under whose ministry the B-BBEE Commission falls) emphasised the malpractice of “fronting”, to be a direct act undermining economic transformation. Defined as “any act that undermines or frustrates the objectives of the Act, or its implementation”, this business practice is regarded to be extremely serious and in direct conflict with Sasol’s strategic imperatives.
 
Fronting Practices

Fronting practices are identified as follows:
  • Window-dressing: Including instances where individuals of a specific race or ethnic origin, are appointed or introduced to an enterprise based on tokenism
  • Benefit Diversion: Includes initiatives implemented where the economic benefits received as a result of the B-BBEE Status of an enterprise, do not flow to individuals of a specific race or ethnic origin, in the ratio as specified, in the relevant legal documentation.
  • Opportunistic Intermediaries: Includes enterprises that have concluded agreements with other enterprises with a view to leveraging the opportunistic intermediary’s favourable B-BBEE status.
Consequences

As stipulated within the Act, BBBE Fronting has serious legal implications. Individuals who knowingly (or those identified as ought to have known)  of any fronting malpractices, may face criminal charges, including, but not limited to a monetary fine, and/or up to (10) ten years’ imprisonment. Companies may also face an administrative penalty of up to 10% of their annual turnover.

Considering the seriousness of the above, Sasol has implemented a BBBEE Fronting Management process inclusive of random BBBEE Ownership, validations.  Any Sasol supplier where evidence of BBBEE Fronting practices have been found to exist, will be referred to the BBBEE Commissioner. Simultaneously, the supplier will be deactivated as a Sasol supplier, pending the conclusion of the investigation by the BBBEE Commissioner.

As a listed Sasol supplier, should you be contacted for BBBEE Ownership validation, we trust and rely on your cooperation and understanding in this regard. Sasol highly values and appreciates your continued focus on acceptable business practices required for all concerned.
